This Terms of Use agreement (Agreement) governs your access to and use of the services, websites, and applications offered by Slumnote (collectively the Service). Your access to and use of the Service is conditioned on your acceptance of and compliance with this Agreement. By accessing or using the Service you agree to be bound by this Agreement.
You may use the Service only if you can form a binding contract with Slumnote, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. Any registration, use or access to the Service by anyone under 13 is strictly prohibited and in violation of this Agreement.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We encourage you to use strong passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. Slumnote will not be liable for any loss or damage arising from your failure to comply with these requirements.
We may, without prior notice, change the Service; stop providing the Service or features of the Service, to you or to users generally; or create usage limits for the Service.
Content means any information, text, graphics, or other materials uploaded, downloaded or appearing on the Service. Content includes all the information you submit for publication on the Service. You retain ownership of all Content you submit, post, display, or otherwise make available on the Service.
By submitting, posting or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, perpetual, royalty-free license (with the right to sublicense) to use, reproduce, adapt, modify, publish, transmit, perform, display, distribute, and make derivative works of such Content in any and all media or distribution methods (now known or later developed). You agree that this license includes the right for Slumnote to make your Content available to others for the publication, distribution, syndication, or broadcast of such Content on other media and services.
We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.
Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable, license to use the Service. Company reserves all rights not expressly granted herein in the Service and the Company Content (as defined below). Company may terminate this license at any time for any reason or no reason.
Your Content entries are private. The only way you can access them is by logging into your account.
Your Shared Content will only be able to be viewed by your friend and family of the Service.
You should only Share Content that you are comfortable sharing with others under the terms of this Agreement. All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such Content.
We may not monitor or control the Content posted via the Service and, we do not take responsibility for such Content. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Service or endorse any opinions expressed via the Service. Any use or reliance on any Content or materials posted via the Service or obtained by you through the Service is at your own risk. You understand that by using the Service, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or postings that have been mislabeled or are otherwise deceptive. Under no circumstances will Slumnote be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service or broadcast elsewhere.
You are responsible for your use of the Service, for any Content you provide, and for any consequences thereof, including the use of your Content by other users and third parties partners. You understand that your Content will be published on the Service and may be republished, and if you do not have the right to submit Content for such use, it may subject you to liability. Slumnote will not be responsible or liable for any use of your Content by Slumnote in accordance with this Agreement. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit, and that Slumnote's use of your Content in accordance with this Agreement will not violate any law or infringe the rights of any third party.
All right, title, and interest in and to the Service (excluding Content provided by users) are and will remain the exclusive property of Slumnote and its licensors. The Service is protected by copyright, trademark, and other laws of both the Republic of Philippines and foreign countries. Nothing in this Agreement gives you a right to use the Slumnote name or any of the Slumnote trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding Slumnote, or the Service are entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.
The Service may include advertisements, which may be targeted to the Content or information on the Service, or other information. In consideration for Slumnote granting you access to and use of the Service, you agree that Slumnote and its third party providers and partners may place such advertising on the Service or in connection with the display of Content or information from the Service whether submitted by you or others.
You agree to defend, indemnify and hold harmless Slumnote and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service, including any data or Content transmitted or received by you; (ii) your violation of any provision of this Agreement; or (iii) any other party’s access or use of the Service with your username and password or other appropriate security code.
Slumnote respects the intellectual property rights of others and expects users of the Service to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your Content has been copied in a way that constitutes copyright infringement, please provide our copyright agent with the following information in accordance with the Digital Millennium Copyright Act: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (iv) your contact information, including your address, telephone number, and an email address; (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

We reserve the right to remove Content alleged to be infringing without prior notice and at our sole discretion. Slumnote will terminate a user's account if the user is determined to be a repeat infringer.
